1. Who we are and what this agreement covers

ScriptedPlannr is operated by Deep Fusion Films Limited ("Deep Fusion Films", "we", "us", "our"), a company registered in England and Wales (company number 14898165), registered office at 15 Neptune Court, Vanguard Way, Cardiff, Wales, CF24 5PJ.

These Terms of Service ("Terms") govern your access to and use of ScriptedPlannr (the "Service"). By accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Account registration

You may create an account by registering with an email address and password, or by signing in via Google. You are responsible for keeping your credentials secure and for all activity that occurs under your account. Notify us immediately at [email protected] if you believe your account has been compromised.

3. Eligibility

You must be at least 18 years old to use the Service. By registering for or using ScriptedPlannr, you confirm that you meet this requirement. If you are accessing the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

4. Description of the Service

ScriptedPlannr is a professional production tool that parses screenplay files (Fountain, FDX, PDF, DOCX, and plain text) and uses AI-assisted analysis to generate scene breakdown data, including cast lists, props, locations, and other production elements.

AI-generated breakdown results are provided as suggestions only. They have not been independently verified and must be reviewed and confirmed by a qualified production professional before being used in any production context. We make no warranty as to the accuracy, completeness, or fitness for purpose of any AI-generated output.

5. Your content

You retain full ownership of and all intellectual property rights in any screenplay files or other content you upload to the Service ("Your Content").

By uploading Your Content, you grant Deep Fusion Films a limited, non-exclusive, royalty-free licence to process, store, and transmit Your Content solely for the purpose of providing the Service to you. This licence terminates when you delete the content or close your account.

You represent and warrant that you own or have the necessary rights to upload Your Content, and that doing so does not infringe any third party's intellectual property or other rights.

6. AI processing and third-party disclosure

When you trigger an AI analysis of a scene, the text of that scene is sent to a third-party AI service for processing. By using the AI analysis feature, you consent to this transmission. You should not upload content that you are not permitted to share with a third-party AI service.

AI analysis is an optional feature. You may use ScriptedPlannr to parse and manage screenplays without triggering AI analysis.

7. Acceptable use

You agree not to use the Service to:

• Upload, transmit, or store content that is unlawful, harmful, obscene, or infringes third-party intellectual property rights
• Attempt to reverse-engineer, decompile, or extract the source code of the Service
• Circumvent any access controls or security measures
• Use the Service in a way that interferes with or degrades its availability for other users
• Use automated means to access or scrape the Service without our written permission
• Resell or sublicense access to the Service without our written permission

We reserve the right to suspend or terminate accounts that violate these restrictions without notice.

8. Intellectual property in the platform

The Service, including its software, design, branding, and documentation, is owned by Deep Fusion Films Limited or its licensors and is protected by copyright and other intellectual property laws. Nothing in these Terms transfers ownership of the platform to you.

9. DMCA / copyright notices

If you believe that content accessible through the Service infringes your copyright, please send a notice to [email protected] with sufficient detail to identify the work and the allegedly infringing material. We will respond to valid notices in accordance with applicable law.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated breakdowns will be accurate or complete.

11. Limitation of liability

To the fullest extent permitted by applicable law, Deep Fusion Films Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or production losses, arising out of or in connection with your use of the Service or any AI-generated output.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) £100.

Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or fraud.

12. Termination

You may stop using the Service and request account deletion at any time by contacting us at [email protected].

We may suspend or terminate your access to the Service immediately, without notice, if you breach these Terms or if we reasonably believe your use poses a risk to us or other users. We may also discontinue the Service with reasonable notice where operationally necessary.

On termination, the licences granted to us in Section 5 end, and we will delete or return Your Content in accordance with our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "last updated" date above and, where appropriate, by prompting you to re-accept before continuing to use the Service. Continued use after a change constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that we may seek injunctive relief in any jurisdiction.
